Innoval acquires Laboratoire Orcad: completing its pest control and biosecurity chain, from services to products

How the Brittany-based livestock services cooperative took control of the Provence-based formulator and distributor of biocidal pest control solutions — the need, the approach, the stakes and the macroeconomic reading of a pest control acquisition that links Brittany to the Marseille metropolitan area and completes a pest control division.

Innoval, the livestock services cooperative group

Built around a first 2021–2025 strategic plan and based in Noyal-sur-Vilaine, in Ille-et-Vilaine (Brittany), Innoval is an agricultural cooperative group whose published purpose is to be the benchmark in upstream livestock services: genetics, reproduction, advice, animal health, data and biosecurity. Unlisted by virtue of its cooperative status, the group documents ten specialised subsidiaries — from Synetics, the European genetics cooperative founded with Germany's Masterrind, to the agricultural artificial-intelligence companies ITK, Medria and Dilepix — two of which already operate in pest control: Farago Bretagne, for livestock biosecurity services, and Sofar France, for rodent control products. Its external growth strategy, carried by its holding company Innoval Développement, aims to complete this service chain methodically — and the acquisition of Laboratoire Orcad is its formulation and distribution building block.

The seller

Laboratoire Orcad, the Provençal pest control formulator

Founded in 2000 in Septèmes-les-Vallons, on the outskirts of Marseille, Laboratoire Orcad is a family business from the South of France that formulates biocidal insect control solutions and distributes them, alongside rodent control and disinfection solutions — rodenticides, insecticides, trapping equipment and personal protective equipment. What sets it apart is a dual role that is rare at this scale: it is a formulator for the professional pest control market, backed by a specialist distribution network covering mainland France and the French overseas territories, and it publishes a consumer range under its Vulcano brand. The handover is on public record: on 1 October 2024 its long-standing head, Olivier Dubreucq, stepped down and the chairmanship was taken over by Innoval Développement, the group's holding company — the business continues to trade under its own brand, now documented among the group's ten subsidiaries and integrated into its Smart Protect protection division.

Deal visibility

Press coverage of the Innoval–Orcad acquisition

The deal, effective on 1 October 2024, is documented by three complementary publications — regional business press, a statutory legal notice and the acquirer's own corporate documentation:

Le Journal des EntreprisesAutumn 2024 Innoval strengthens its stakes in pest control companies

The regional business press documents the broader move: the cooperative group is strengthening its stakes in pest control companies, including the Marseille-area player — the angle being the building of a division rather than a one-off deal. The news item places the acquisition of the Provençal formulator within the external growth strategy of the Brittany group, which was already active in this market through its service and product subsidiaries.

Legal notice · TPBM Semaine Provence16 October 2024 Laboratoire Orcad: chairmanship handed to Innoval Développement

The legal notice carries the legal record of the closing: with effect from 1 October 2024, the sole shareholder of Laboratoire Orcad — a single-shareholder simplified joint-stock company (SASU) with share capital of EUR 500,000, registered with the Aix-en-Provence Trade and Companies Register (RCS) — appointed Innoval Développement as chair (président) of the company, replacing Olivier Dubreucq, who resigned. Published on 16 October in a legal notices medium for the Bouches-du-Rhône département, the change formalises the transfer of governance to the cooperative group's development holding company.

Innoval · official documentationAfter integration Laboratoire Orcad among the group's ten subsidiaries

The acquirer's corporate page documents the integration: Laboratoire Orcad is listed among the group's ten specialised subsidiaries, presented through its history — founded in 2000 in Septèmes-les-Vallons —, its business as a formulator-distributor of biocidal solutions and its coverage of mainland France and the overseas territories. It sits alongside Farago Bretagne, the livestock biosecurity services specialist, and Sofar France, the supplier of rodent control solutions: the complete pest control chain, from services to products.

What was at stake

Why this pest control acquisition, and why this target

For Innoval, the aim was to control an entire chain: biosecurity is a critical livestock service — sanitary, regulated, day-to-day — and the group served it through two building blocks, the 3D services of Farago Bretagne and the rodent control products of Sofar France. What it lacked was the industrial upstream: a formulator able to design biocidal solutions and distribute them nationwide, beyond its members' footprint — to pest control professionals, local authorities and consumers. The group's published purpose — to become “the benchmark cooperative group for upstream livestock services” — states the logic exactly: moving up the chain, all the way to formulation.

The strategic aim: bringing services, products and formulation together within a single biosecurity division

On the target side, Laboratoire Orcad offered a profile that can be counted on the fingers of one hand in the French market: an independent formulator, founded as a family business in 2000, that masters both the design of solutions — rodenticides, insecticides, disinfectants — and their route to market, through a specialist distribution network covering the whole country and an established consumer brand, Vulcano. For a cooperative whose customers range from livestock farms to local authorities and households, this dual industrial and commercial capability was exactly the missing piece — and its Provençal base opens up south-east France to the group's division, at the opposite end of the country from its Brittany heartland. The founder's complete handover, recorded in the public registers, makes it a textbook case of a family business being taken over by a cooperative group.

The macroeconomic reading

Pest control, a regulated market in consolidation

This deal illustrates the reshaping of a low-profile but essential market: pest control — known in France as the 3D sector — is driven by rising sanitary requirements, by food-industry and public-sector buyers with ever stricter standards and, above all, by the EU Biocidal Products Regulation, which makes authorisation dossiers more expensive and mechanically pushes the market towards concentration: only well-backed players can bear the regulatory cost of active substances and formulations over time. Large international groups are consolidating the services market; in parallel, independent formulators — scarce and sought after — find in joining a larger group the critical size that regulation demands.

The deal also tells a distinctive story of French cooperative capitalism: a group of Breton livestock farmers extending its value chain to industrial formulation by taking over a Provençal family business whose founder hands over after a quarter of a century. The consolidation is domestic and spans the whole of France — from Noyal-sur-Vilaine to Septèmes-les-Vallons —; it preserves the target's facilities and brand, and it embeds the handover in an industry-wide project: within the group's division, Farago Bretagne's services, Sofar France's ranges and Orcad's formulation now complement one another, from livestock buildings to consumer customers.

The adviser's role

Collaboration Capital's added value on this buy-side mandate

On this deal, Collaboration Capital acted as buy-side adviser. An acquisition in biocides plays out in four stages — and the sector's regulatory intensity gives each of them its own lens.

I

A clear understanding of the mandate

Scoping an acquisition in pest control is highly specific: a group that already owns the services and a product line is not looking for one more service provider, but for the industrial upstream — formulation and its distribution — compatible with EU biocides regulation. The sector's sales channel shapes the specification: pest control professionals, livestock health organisations and specialist distributors list their suppliers on product compliance, depth of range and logistical reliability — the ideal target brings authorisations in good order and an established network, not just a catalogue.

II

Target sourcing and assessment

The pool of targets is as narrow as it is discreet: independent biocide formulators in France number only a handful, often family-owned, and official classifications make them impossible to find — Laboratoire Orcad itself is administratively classified under the wholesale of tableware and cleaning products. Assessing them calls for criteria specific to the trade: the portfolio of authorisations and regulatory dossiers, mastery of active substances, the strength of the brands and of the distribution network, and the recurrence of professional outlets against the seasonality of the consumer market. Half of a formulator's value lies in its dossiers — provided you know how to read them.

Off-market channel

Off-market sourcing

Collaboration Capital's technological edge lies in how it identifies targets: semantic clustering and machine-learning algorithms, rather than sector and administrative classifications. Official activity codes put companies into boxes that cannot answer an acquirer's overall objective — they ignore the actual business, the distribution model, the customer mix and the business model. Semantic analysis, by contrast, reads what companies really do and maps those that fit the acquisition thesis in every dimension, including — above all — those that are not for sale. This deal's sector proves the point: a biocide formulator classified under the wholesale of tableware, which no activity-code query would ever have surfaced.

On-market channel

On-market sourcing

The same infrastructure applies to the visible market: the technology extracts the acquisitions and disposals completed in the client's target sector — and, above all, it identifies the dealmakers who led them: lawyers, auditors, lending banks and investment funds, assessing how specialised each of them is in the sector concerned.

Collaboration Capital thus identifies the dealmakers genuinely active in the target sector, finds their business contact details — emails and phone numbers — and gets in touch to present the client's acquisition project. This is how the on-market channel is fed: it gives the client access to the businesses for sale circulating on the market, at the moment they circulate, through the people who circulate them.

Combined, these two channels raise the level of the sourcing game: Collaboration Capital's technology infrastructure becomes a genuine game changer for acquisition projects. It is designed for ambitious companies that want to build their external growth on this high-end infrastructure.

III

Direct approach and introductions

Approaching the founder-manager of a family business he has built since 2000 means talking succession before talking transaction: the future of the team, of the Vulcano brand and of a patiently built network weighs more than any other consideration. The sensitivity of the sector adds the question of the project: an independent formulator does not join just anyone — the pitch rested on the nature of the acquirer, a cooperative group whose sanitary mission extends the target's own, which takes over the business together with its brand and facilities, and which brings it the structured outlets of its service subsidiaries and the backing of a national group. Even the geography — Brittany coming to find Provence — signalled how serious the industry project was.

IV

Negotiation through to closing

Structuring the acquisition of a formulator focuses due diligence on regulatory matters: biocide authorisations and dossiers and their transferability, compliance of labelling and of the storage of active substances, ownership of formulations and brands, and the strength of the distribution network and of product listings. Governance was handled in due form under French company law: chairmanship transferred to the holding company Innoval Développement on 1 October 2024, with the sole shareholder's decision published in the Bouches-du-Rhône legal notices medium on the 16th — the public, enforceable record of the closing. Continuity is that of the business itself: the company carries on under its own brand, documented among the group's subsidiaries, within a division that now brings together services, products and formulation.
