Growth by acquisition:
building a buy-and-build plan
that genuinely creates value

A successful acquisition is a good deal. A series of coherent acquisitions is a strategy — a buy-and-build strategy —
and it is what turns an SME into a group, with an effect on value that organic growth alone never achieves.

01 · The context

The context: when organic growth is no longer enough

Your market is consolidating, critical mass now determines access to major tenders, and scarce skills are quicker to secure by buying a company than by hiring: there is no shortage of reasons to pursue growth by acquisition. The trap is just as well known: opportunistic acquisitions made as they come along, without a plan, produce a collection of companies — not a group. You overpay for a target because it turned up at the wrong moment, you botch an integration because management is still absorbed by the previous one, and three years later the whole is worth less than the sum of its parts. The difference between the two paths rarely comes down to the opportunities; it comes down to discipline.

02 · The solution

The solution: a buy-and-build plan built on a thesis, a pipeline and sequencing

A robust buy-and-build plan rests on four pillars. First, an explicit investment thesis: which businesses, which geographies, which real synergies — the ones you can quantify, not the ones you hope for. Second, a live target pipeline, fed continuously and including off-market opportunities, because the best targets in a buy-and-build are almost never officially for sale. Third, rigorous financial sequencing: each acquisition must leave the group able to make the next one — consolidated debt, cumulative working capital and existing covenants enter the equation before you even look at the target. Finally, an integration playbook, because the first hundred days decide what follows. Done well, the whole produces what financiers call multiple arbitrage: a well-structured group is valued more highly than the sum of the companies that make it up.

03 · Our method

Our method: systematic target sourcing and disciplined execution

This is where our DEAL Diamond method comes into its own: AI-driven semantic scouting continuously scans your market and identifies targets consistent with your thesis — including those that no listings database records, which account for 80% of our transactions. Our analysts qualify each owner-manager, gauge their openness to a conversation and organise confidential approaches that put no one's back up. On the execution side, we handle valuation, letter of intent, financing structure and coordination of due diligence, deal after deal, so that your management team stays focused on running the business. And we play a role rarely expected of an adviser: helping you say no. An attractive target that falls outside the thesis is the first danger in a buy-and-build strategy — turning it down is sometimes the decision that protects the whole plan.
