NSI acquires ASHUB Propreté: a commercial cleaning acquisition that takes a gym specialist national

How the northern French commercial cleaning group, on its third acquisition of the year, bought the Île-de-France gym cleaning specialist — the need, the approach, the stakes and the macroeconomic reading of a deal that adds to its geographic footprint a specialist vertical to be rolled out across the country, in support of its published target of EUR 100m in revenue during 2026.

The acquirer

NSI Groupe, the northern French consolidator of commercial cleaning

Founded in 2012 by Romain Tellier, then aged 24, and based in Marly, near Valenciennes in northern France, NSI Groupe has grown in commercial premises cleaning and multi-services for businesses and public-sector organisations. The privately held group generated EUR 80m in revenue in 2025 with nearly 5,000 employees and a network of 25 branches in France — backed by some twenty acquisitions in six years, recently at a pace of one deal every two to three months: RM Propreté in January, EPSO in April, ASHUB in early July. Its strategy is set out in its published Ambition 2030 plan — EUR 150m in revenue and a place in the French top 10 — whose EUR 100m milestone during 2026 is now in sight, and to which this commercial cleaning acquisition adds a new dimension: after regional markets, a specialist vertical to be rolled out across the country.

ASHUB Propreté, the gym cleaning specialist

Founded in 2021 and based in Créteil, in the Île-de-France region, ASHUB Propreté has established itself in five years as France's gym cleaning specialist — a segment with particular requirements: high service frequencies, specific time constraints and strict hygiene standards, typical of high-traffic environments. Its published figures point to remarkable growth for such a young company: EUR 6.5m in revenue, nearly 500 business clients — independent clubs as well as multi-site fitness chains — and more than 270 employees working across France, with a stated positioning as a genuine operating partner. Its integration is a roll-out project rather than an absorption: the group intends to strengthen this expertise and scale it up across the country, while gaining new locations in Nantes and Grenoble.

What the press said about the acquisition

The deal, announced in a press release in early July 2026, was covered by the business press and the sector's two trade titles:

Le Journal des Entreprises (in French)July 2026 NSI Groupe closes a third acquisition in 2026 with ASHUB Propreté

The regional business press frames the deal within the consolidator's model: the northern group — EUR 80m in revenue, nearly 5,000 employees, some twenty acquisitions in six years — is buying the Créteil company, founded five years ago, with EUR 6.5m in revenue and some 500 business clients. The article details the geographic contribution: new locations in Nantes and Grenoble, and stronger positions in the South-East, the South-West and Île-de-France, in support of the Ambition 2030 plan.

Relaying the official press release, the building finishing and maintenance trade press sets out the acquirer's strategic reading: a new market with its own requirements — high service frequency, time constraints, strict hygiene — expertise built over five years around a loyal and diversified client portfolio, and the stated ambition to strengthen it and roll it out on a larger scale across France. The article confirms the group's pace: third acquisition of the year, after RM Propreté in January and EPSO in April.

The cleaning industry's trade magazine — which has followed the group from one deal to the next, from Gesti Pro to EPSO — places the ASHUB buyout in the race towards a symbolic milestone: the gym cleaning specialist, with EUR 6.5m in annual revenue and some 500 clients, contributes directly to the EUR 100m revenue target set for 2026. The title's continuous coverage turns the acquirer's trajectory into a well-documented serial of the sector.

The deal's rationale

Why this commercial cleaning acquisition, and why this target

For NSI Groupe, the nature of the challenge is changing: after regional markets — western France with GPNI, Normandy with RM Propreté, the South-West with EPSO — this third acquisition of the year brings a specialist vertical: an entire segment, gyms, where specialisation drives client loyalty and where multi-site fitness chains expect a partner able to follow them everywhere. “In five years, ASHUB has built a solid position in this market,” says the acquirer's press release (translated from French) — which also sets out the plan: to integrate this expertise in order to strengthen it and roll it out on a larger scale across the country. The fit is mechanical: the target brings know-how in the segment, the group brings the 25 branches needed to serve it nationally — and gains Nantes and Grenoble along the way.

The strategic stake: plugging the specialist's vertical into the 25 branches of the national network

On the target side, ASHUB Propreté offered the rare profile of an established vertical: only five years old, and already EUR 6.5m in revenue, nearly 500 clients and more than 270 employees — the trajectory of a young company that created its market by embracing the constraints of fitness, from clubs' off-peak hours to hygiene in high-traffic environments, until it became the operating partner of multi-site chains. It is the opposite of the sector's usual pattern: not a handover on the founder's retirement, but the acceleration of a young specialist — the founder of an emerging national vertical finding, by joining a larger group, the branch network that five years of organic growth could not build. For the acquirer, a loyal and diversified client portfolio; for the target, scale; for the segment, an announced national roll-out.

The macroeconomic view

Commercial cleaning is also consolidating through specialist verticals

This deal sheds light on the second phase of consolidation in French commercial cleaning: after the race for regional markets — taking over established regional firms, often when the founder retires — consolidators are now buying verticals: specialists in segments with their own constraints, born alongside their markets. Fitness is the textbook example: driven by the growth of multi-site chains and franchises, it has given rise within a few years to dedicated providers whose standards — frequency, hours, hygiene — cannot be improvised; and these young verticals, having reached the ceiling of their organic growth, find in groups with a national footprint the vehicle for their nationwide roll-out — while the groups find in them the differentiation that general cleaning no longer offers.

The deal also tells a story of rapid entrepreneurship: a company founded in 2021 in Créteil that, within five years, established itself in its segment to the point of attracting the market's most active consolidator — the group's third acquisition of the year, within an integration process honed over some twenty buyouts. The consolidation is domestic — from northern France to Île-de-France, with Nantes and Grenoble as new locations — and employment follows scale: more than 270 employees join a group of nearly 5,000, whose EUR 100m milestone during 2026, published and followed by the trade press like a serial, comes closer with each deal.

The adviser's role

Collaboration Capital's added value on this buy-side mandate

On this deal, Collaboration Capital acted as buy-side adviser. Acquiring a specialist vertical plays out in four stages — and its logic differs from the sector's classic regional takeover, right down to the seller's profile.

I

Understanding the mandate

The scoping started from a changing referral channel: in fitness, multi-site chains and franchises are nationalising their service contracts — and award them only to providers able to follow them everywhere, to the segment's standards: high service frequencies, clubs' time slots, hygiene in high-traffic environments. For a group with 25 branches, the thesis was therefore reversed: no longer buying a territory, but buying the know-how of a segment — the established vertical, with its chain references and loyal client portfolio — which the existing network would immediately allow to be rolled out nationally.

II

Target sourcing and assessment

Spotting a vertical in the sea of generalists is the blind spot of industry classifications: cleaning has a single code, which says nothing about the client specialisation that creates all the value here. The real filters are those of the segment: the share of revenue generated in the target market; the nature of references — from independent clubs to multi-site chains, the client base that proves the offer can be replicated; the density of the organisation — more than 270 employees for EUR 6.5m, a workforce trained to fitness standards; momentum — five years in business and an already solid position; and the initial geographic coverage, which shows what the national roll-out will have to build.

Off-market channel

Off-market sourcing

Collaboration Capital's technological edge lies in its method for identifying targets: semantic clustering and machine learning algorithms, rather than sector and administrative classifications. Official activity codes put companies into boxes that cannot answer an acquirer's overall objective — they ignore actual activity, distribution model, client type and business model. Semantic analysis, by contrast, reads what companies actually do and maps those that match the acquisition thesis in all its dimensions, including — and above all — those that are not for sale. In the market for this deal, this is what singles out, within cleaning's single activity code, the specialist whose clientele — fitness clubs and chains — outlines an emerging national vertical.

On-market channel

On-market sourcing

The same infrastructure applies to the visible market: the technology extracts the acquisitions and disposals completed in the client's target sector — and, above all, it identifies the dealmakers who led them: lawyers, auditors, lending banks and investment funds, assessing each one's degree of specialisation in the sector concerned.

Collaboration Capital thus identifies the dealmakers genuinely active in the sector sought, finds their professional contact details — emails and phone numbers — and gets in touch to present the client's acquisition project. This is how the on-market channel is fed: it gives the client access to the businesses for sale circulating on the market, when they circulate, through the people who circulate them — an active channel in commercial cleaning, where sales of specialists and regional firms alike are regularly brokered.

Combined, these two channels raise the level of the sourcing game: Collaboration Capital's technology infrastructure becomes a genuine game changer for acquisition projects. It is designed for ambitious companies that want to base their external growth on this high-level infrastructure.

III

Direct approach and introduction

Approaching the founder of a fast-growing young vertical is the opposite of a retirement handover: the founder has not finished their story; they are looking for its accelerator. The pitch therefore focused on the segment's project: the national roll-out of the expertise — which the press release sets down in black and white: strengthening it and scaling it up across the country — immediate access to the 25 branches that five years of organic growth would not have been enough to build, and the credibility of an acquirer whose integration process, some twenty buyouts in six years, is publicly documented — the group's pace being itself the argument.

IV

Negotiation through to completion

Structuring the acquisition of a vertical adds to the sector's employment due diligence — collective agreements, staff transfers, compliance for a workforce of more than 270 — the segment-specific checks: client concentration on a few chains and the transferability of multi-site framework contracts on a change of control, the seasonality of a market driven by fitness campaigns, the claims history of high-traffic environments, and the retention of teams trained to the trade's standards. The serial acquirer's discipline did the rest: third deal of the year at a pace of one every two to three months, an announcement coordinated by press release, and the involvement of a sell-side adviser, made public by the market — the transparency of a market intermediated from end to end.
