NSI acquires Gesti-Pro: a cleaning company acquisition to break into the Paris region and scale up

How the northern French cleaning consolidator acquired one of the leading players in the Paris-region market and its 850 employees — the need, the approach, the stakes and the macroeconomic reading of a cleaning company acquisition that took the group past 3,500 employees, the first decisive step of its Ambition 2030 plan.

The acquirer

NSI Groupe, the northern French commercial cleaning consolidator

Founded in 2012 by Romain Tellier, then aged 24, and based in Marly, near Valenciennes in the Nord department, NSI Groupe has grown in commercial cleaning and multi-service facility services for businesses and public-sector organisations. Privately held, the group had 2,700 employees before the deal and 2023 revenue of EUR 38.25 million — EUR 37.87 million of it from cleaning alone — ranking it 29th among French cleaning companies. Its strategy is set out in a published plan, Ambition 2030: build a strong national network, join the top 10 of the French cleaning industry, and make progress on three stated pillars — innovation, quality and CSR commitment.

The seller

Gesti-Pro, a leading player in Paris-region commercial cleaning

Founded in 1987 and based in Paris's 8th arrondissement, Gesti-Pro has established itself as a leading cleaning and multi-service provider in Île-de-France, serving corporate and public clients across the capital region. What sets it apart is the depth of its organisation: nearly 850 employees — a size few independent Paris-region firms reach — a long-standing presence in Île-de-France and expansion over the past decade or so into the Centre region. Continuity rests on the teams and the contracts: all 850 employees join the group, and the company publicly welcomed the combination as a significant step in its development, opening new prospects alongside an acquirer whose expertise, energy and innovative approach it highlighted.

Press coverage of the deal

Press coverage of the NSI–Gesti-Pro acquisition

The deal, announced on 16 October 2024, was covered by Services, the leading trade publication for the French cleaning industry, which went on to report on what followed. The two key articles (in French):

The reference article documents the whole deal: the 16 October announcement, the profile of both companies — the northern group ranked 29th in the sector with EUR 38.25 million of 2023 revenue and 2,700 employees, and the Paris-region firm founded in 1987 with its 850 employees — the combined group of more than 3,500 people and over EUR 60 million in revenue, and statements from both parties, from the chairman of NSI Groupe placing the deal within his Ambition 2030 plan to the target welcoming a significant step in its development.

Services · cleaning industry trade press17 August 2026 NSI's fourth acquisition of the year

Eighteen months later, the same trade title documents the trajectory the deal opened up: the buy-and-build continued at a sustained pace — up to four acquisitions in a single year, including a first one outside mainland France — taking the group's consolidated revenue towards EUR 120 million, three years ahead of the Ambition 2030 targets. A retrospective reading that casts the Gesti-Pro acquisition as the founding milestone of the change in scale: the plan's first major move, and the one that doubled the size of the group.

The rationale

Why this cleaning company acquisition, and why this target

For NSI Groupe, the aim was twofold: to establish itself in the Paris-region market — the heart of France's office and services economy, where the northern group did not yet hold a leading position — and to change scale in a single move, in a business where size determines access to large tenders. The acquisition meets both goals exactly: it brings an established position in Île-de-France and takes the group from 2,700 to more than 3,500 employees. “This strategic transaction strengthens our presence in the region,” said Romain Tellier, chairman of NSI Groupe — stressing the leading position thus gained and how well the deal fits the Ambition 2030 plan, which targets a national network and a place in the top 10 of the French cleaning industry.

The strategic stake: combining entry into the Paris region with a national change of scale

On the target side, Gesti-Pro offered a rare profile in the Paris-region market: thirty-seven years of history, nearly 850 employees — a size most independent firms in the region never reach — an established base of corporate and public clients in Île-de-France, and an expansion already completed into the Centre region, foreshadowing the network the acquirer wants to build. In cleaning, acquiring a company means acquiring a portfolio of contracts and the teams that deliver them: the target's value lay in the strength of that combination, which the acquirer's press release acknowledged by citing the know-how of Gesti-Pro's teams and the synergies expected from combining it with the expertise of NSI's staff. The target, for its part, publicly chose its new parent: a significant step in its development, alongside a group it describes as innovative and committed.

The macroeconomic reading

French commercial cleaning is consolidating fast

This deal illustrates the reshaping of one of France's largest employing sectors: cleaning, made up of thousands of often family-owned businesses, is consolidating under threefold pressure — from clients, who are pooling their purchasing and demanding national coverage, innovation and CSR commitments; from recruitment shortages; and from the critical mass needed to invest in digitalising operations. Regional consolidators that want to count must move up quickly: the Paris-region market, the heart of the national office economy, is a must for any large-scale project — and sizeable targets there are few and far between.

The deal also tells a distinctive French entrepreneurial story: a group founded in 2012 in the Valenciennes area by a 24-year-old founder, which doubles in size through this acquisition — from 2,700 to more than 3,500 employees — and whose acceleration the trade press would go on to document: a buy-and-build pursued at a sustained pace, consolidated revenue pushed towards EUR 120 million and Ambition 2030 targets reached three years early. For the 850 Paris-region employees, the transfer means continuity of teams within a growing group; for the sector, it signals a new generation of regional consolidators that have risen to the front rank in just a few years.

The adviser's role

Collaboration Capital's added value as buy-side adviser on this deal

On this deal, Collaboration Capital acted as buy-side adviser. An acquisition in labour-intensive services plays out in four stages — and the nature of the asset, contracts delivered by teams, gives each of them a sector-specific lens.

I

I. Understanding the brief

Scoping an acquisition in cleaning is highly specific: a consolidator targeting a region is not looking for revenue, but for a portfolio of recurring contracts and the organisation that delivers them — operations management, site managers, stable teams. The sector's buying channel shapes the brief: clients — procurement and workplace departments in offices, industry and the public sector — select their providers on geographical coverage, operational quality and, increasingly, CSR commitments. The ideal target brings an established regional position with these decision-makers, not a mere collection of sites.

II

II. Sourcing and evaluating targets

The target market is one of the most fragmented in France: thousands of cleaning companies that official classifications file under a single code without saying anything about what matters — the client mix, contract recurrence, the share of multi-service, the quality of supervision. Evaluating them requires sector-specific criteria: the contract pyramid and renewal dates, customer concentration, the structure of the payroll and employee relations, and sector certifications. By that yardstick, well-run targets with 850 employees can be counted on the fingers of one hand in Île-de-France — and you need to have identified them all to approach the right one.

Off-market channel

Off-market deal sourcing

Collaboration Capital's technological edge lies in how it identifies targets: semantic clustering and machine-learning algorithms rather than sector and administrative classifications. Official activity codes put companies into boxes that cannot answer an acquirer's overall objective — they ignore actual activity, distribution model, customer profile and business model. Semantic analysis reads what companies really do and maps those that fit the acquisition thesis in every dimension, including — above all — those that are not for sale. In a market like cleaning, where a single activity code covers thousands of incomparable companies, this is what brings to light targets that no sector database surfaces.

On-market channel

On-market deal sourcing

The same infrastructure applies to the visible market: the technology extracts the acquisitions and disposals completed in the client's target sector — and, above all, identifies the dealmakers who ran them: lawyers, auditors, lending banks and investment funds, assessing how specialised each one is in the sector concerned.

Collaboration Capital thus identifies the dealmakers genuinely active in the sector sought, finds their business contact details — emails and phone numbers — and gets in touch to present the client's acquisition project. This is how the on-market channel is fed: it gives the client access to the businesses for sale circulating in the market, at the moment they circulate, through the people who circulate them.

Together, these two channels raise the level of the sourcing game: Collaboration Capital's technology infrastructure becomes a genuine game changer for acquisition projects. It is designed for ambitious companies that want to build their external growth on this high-level infrastructure.

III

III. Direct approach and introductions

Approaching a Paris-region cleaning company established since 1987 means talking to a business whose asset walks and can be handed on: 850 employees, site managers, relationships of trust with demanding clients — and the seller's first question is about their future. The sensitivity of the business is as much social as commercial: the slightest concern among staff or clients during the talks would weaken the very asset being transferred. The case rested on the project: a published plan — Ambition 2030 — a growing group led by an entrepreneur, and a prime role for the target as the Paris-region bridgehead of the future national network. The target publicly endorsed it by praising the expertise and energy of its new parent.

IV

IV. Negotiation through to closing

Structuring a cleaning company acquisition focuses due diligence on the contract portfolio and employment matters: client contracts, their clauses and expiry dates, employment-law compliance for a workforce of 850 — payroll, working time, the sector's collective-agreement obligations — insurance and claims history, and the strength of the operations management that will remain after closing. Continuity was treated as the central issue: every employee joins the group, and the communication — the 16 October announcement, matching statements from both parties in the trade press — positioned the combination as a growth project rather than an absorption. What followed confirmed it: the deal opened the trajectory that put the Ambition 2030 plan three years ahead of schedule.
